SUVARİ SHIP CHARTERING AND AGENCY INC. CODE OF ETHICS

PURPOSE

SUVARİ Ship Chartering and Agency Inc., a leading company in its sector operating in Turkey and worldwide, aims to reinforce its pioneering role in the industry and ensure the continuity of its high-quality services through the business ethics principles outlined in this document.

The Code of Ethics, approved by our Board of Directors, is a set of principles that all employees, especially our company executives, are required to follow and lead by example in encouraging others to adhere to these principles. All employees are expected to first acknowledge the importance of these ethical rules and comply with them.

1. Our Business Ethics Principles

Integrity

Integrity and honesty are our foremost values in all our business processes and relationships. We act with integrity and honesty in our relationships with employees and all our stakeholders.

Confidentiality

Confidential and proprietary information includes information that may create a competitive disadvantage for the company, trade secrets, unpublished financial data, and other personal information concerning employees and third parties, protected under confidentiality agreements.
As employees of the company:

  • We pay utmost attention to safeguard the confidentiality and privacy of our customers, employees, and other relevant individuals and organizations we work with.
  • We protect confidential information related to company activities, use it only for company purposes, and share it only with authorized personnel as necessary.
  • When leaving the company, we do not take out confidential information, documents, projects, regulations, or other work obtained during our tenure.

Conflict of Interest

As company employees, we aim to avoid conflicts of interest. We do not leverage our current position to gain personal benefits for ourselves, our families, or close associates from individuals or organizations we interact with professionally.

2. Our Responsibilities

In addition to our legal obligations, we pay attention to fulfilling the following responsibilities toward our customers, employees, shareholders, suppliers, business partners, competitors, society, humanity, and the company itself:

Legal Responsibilities

We conduct all our activities and transactions within Turkey and abroad in compliance with the laws of the Republic of Turkey and international laws. We provide accurate, complete, and understandable information to regulatory institutions and authorities on time.

Responsibilities Toward Customers

We work with a customer satisfaction-oriented approach, responding proactively and promptly to our customers’ needs and requests. We provide our services on time and under the agreed-upon conditions, treating our customers with respect, dignity, fairness, equality, and courtesy.

Responsibilities Toward Employees

  • We ensure that employees fully and correctly exercise their rights.
  • We approach employees honestly and fairly and provide a non-discriminatory, safe, and healthy working environment.
  • Our recruitment policies are based on equal opportunities. We support female employees and managerial candidates with positive discrimination under equal conditions.
  • We make every effort to support the personal development of our employees and encourage them to participate voluntarily in appropriate social and community activities with a sense of social responsibility.
  • We also consider the balance between work and private life.

Responsibilities Toward Suppliers/Business Partners

We act fairly and respectfully as a good customer would, ensuring we meet our obligations on time. We carefully safeguard the confidential information of individuals, organizations, and business partners we work with.

Responsibilities Toward Competitors

We actively compete only in legal and ethical areas and avoid unfair competition. We support efforts to establish a competitive structure within society.

Responsibilities Toward Society and Humanity

  • We prioritize democracy, human rights, environmental protection, education, charity work, and the elimination of crime and corruption.
  • We act as a responsible corporate citizen by being proactive and sensitive in social matters.
  • We show respect for the traditions and cultures of Turkey and the countries we conduct business with internationally.

IMPLEMENTATION

Employees are expected to adhere to the principles outlined in the Code of Ethics and Conduct. Accordingly:

  • Employees who violate the rules stated in this document will be subject to actions in accordance with the Labor Law, other relevant legislation, and internal policies, regulations, and procedures.
  • Employees who are aware of any violation but fail to inform their Department Manager and/or the Executive Committee will be held accountable under the same framework as the person committing the violation.
